Terms of Sale

Effective Date: October 2, 2026

These Terms of Sale ("Terms") govern the purchase of products ("Products") from BOHAN machines Limited ("we," "us," or "our") by any individual or entity ("you" or "Customer") through our website or any authorized sales channel.

By placing an order, you agree to be bound by these Terms. If you do not agree, please do not place an order.

1. Orders

  • All orders are subject to acceptance and availability.
  • We reserve the right to cancel or refuse any order at our sole discretion.
  • Once an order is placed, you will receive a confirmation email. This email does not signify acceptance of your order, but rather a confirmation that we have received it.

2. Pricing and Payment

  • All prices are listed in Canadian Dollars (CAD) unless otherwise stated.
  • Prices shown on our website may change without notice. The price stated in your order confirmation applies to that order.
  • You agree to pay all charges, including applicable taxes and shipping fees, at the time of purchase.
  • Accepted payment methods include:
  • Credit/debit cards (Visa, Mastercard, etc.)
  • PayPal
  • Online e transfer and other methods as indicated at checkout
  • Note: International orders may be subject to additional duties or taxes upon delivery. These are the buyer's responsibility.
  • Where we approve you for credit terms, overdue amounts bear interest at 1.5% per month (18% per year) from the due date until paid, and you must pay our reasonable costs of collection, including legal fees on a solicitor-and-own-client basis. See our Payment Terms
  • We may cancel or hold any order if a payment fails, is reversed or is charged back, or if we reasonably suspect fraud

3. Shipping & Delivery

  • Shipping policies, including delivery timelines and rates, are outlined in our Shipping Policy.
  • Title and risk of loss pass to you upon delivery to the carrier.
  • Delivery dates are estimates and not guaranteed. We are not liable for delays caused by carriers or customs.

4. Returns & Refunds

  • Return and refund requests are governed by our Return Policy.
  • Products must be returned in unused, resalable condition within the specified return window and RMA.
  • Certain products / Special order items (e.g., custom, perishable, or final sale items) may not be eligible for return.
  • Software, firmware, special-order, custom, used and opened electrical items are not returnable except as our Return & Refund Policy states

5. Product Descriptions

  • We strive for accuracy in product listings, but errors may occur.
  • We do not guarantee that product descriptions, images, or specifications are error-free or complete.
  • In the event of an error, we reserve the right to cancel any affected order and offer a refund.

6. Warranty Disclaimer

  • All products are sold "as is" unless otherwise stated.
  • We do not make warranties, express or implied, except as specifically set forth in writing.

7. Limitation of Liability

THIS SECTION LIMITS OUR LIABILITY. PLEASE READ IT CAREFULLY.

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, special, or consequential damages.
  • Our total liability shall not exceed the total amount paid for the product(s) in question.
  • These limits apply whatever the legal basis of the claim, including contract, negligence and other tort. Nothing here limits liability for our fraud or wilful misconduct or any liability that cannot lawfully be limited
  • You are responsible for selecting products suitable for your equipment and use, and for their proper installation, operation, maintenance and safe use by qualified persons

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the laws of Canada applicable therein, without regard to conflict of laws.

9. Dispute Resolution

  • In the event of a dispute, both parties agree to attempt resolution in good faith before pursuing legal action.
  • If unresolved, disputes will be subject to the exclusive jurisdiction of the courts of Alberta.
  • Before starting a claim, the person with the dispute must give the other written notice describing it and try in good faith to resolve it for at least 30 days. Time limits under the law keep running during this period.
  • To the extent the law allows, each party will bring claims against the other only in its own name and not as part of a class or representative action.

10. Changes to These Terms

We may update these Terms at any time. Changes will be effective upon posting on our website. Continued purchases constitute acceptance of the updated Terms.

11. Indemnity

You will defend, indemnify and hold harmless BOHAN machines Limited, its directors, officers, employees and affiliates against all claims, losses, damages and costs (including legal fees on a solicitor-and-own-client basis) arising from your misuse, modification or improper installation of Products, your breach of these Terms or the law, or any third-party claim connected with your use of the Products, except to the extent caused by our gross negligence or wilful misconduct.

12. General

  • These terms, with the documents they refer to, are the entire agreement about their subject and replace earlier discussions. If a part is found unenforceable, the rest still applies and that part is read down to the extent needed.
  • Our delay or failure to enforce a right is not a waiver of it. You may not assign your rights or obligations without our written consent; we may assign ours to an affiliate or a successor to our business.
  • Notices to you are effective when sent to the email address or postal address you gave us. Notices to us must be sent to machines@thebohan.com. You agree that electronic records and communications satisfy any legal requirement for writing.
  • Sections that by their nature continue after these terms end (including payment, limits of liability, indemnity, intellectual property, confidentiality and governing law) continue.

13. Consumer Rights

If you are an individual buying or using services for personal, family or household purposes, the rights you have under consumer protection and sale-of-goods law that cannot be waived or limited by contract are not affected by these terms. Nothing in these terms is intended to reduce those rights, and these terms apply to you only to the extent the law allows.
